Terms and Conditions of Business for the Referral of Staff
1. These Terms and Conditions of Business
are between the Language Export Centre Ltd, hereinafter called
the Company, and the Employer, hereinafter called the Customer,
and the Employee, hereinafter called the Candidate.
2. All and any business undertaken by the Company is transacted
subject to the conditions hereinafter set out, each of
which shall be incorporated or implied in any agreement between
the Company, its Customers and Candidates.
In the event of conflict between these conditions and any
other terms and conditions, the former shall prevail unless
expressly agreed to the contrary by the Company in writing.
3. The interview by the Customer of any Candidate introduced
by the Company shall be deemed acceptance of and agreement
to these conditions of business by the Customer.
4. No charge is made to the Customer for arranging an interview
with a Candidate and our service is entirely free to Candidates.
5. The Customer shall be invoiced for a referral fee on the
commencement date of employment of any Candidate introduced
by the Company to the Customer.
The referral fee shall be calculated
in accordance with the Company's scale of fees in force on
which VAT (if applicable) shall be paid in addition.
6. The Customer shall notify the company immediately an applicant
introduced by the Company is engaged and pay the referral
fee within 28 days of the invoice date.
7. The Company endeavours to ensure the suitability of any
Candidate introduced to the Customer.
The Customer shall notwithstanding satisfy himself as to
the suitability of any Candidate and shall take up any references
provided by any Candidate and/or the Company before engaging
such Candidate.
The Customer shall be responsible for obtaining work and
other permits and for the arrangement of medical examinations
and/or investigations into the medical history of any Candidate.
8. The Company shall not be liable under any circumstances
for any loss, damage or expense suffered or incurred by the
Customer arising from, or in any way connected with, the Company
seeking a Candidate for the Customer or the referral by the
Company to the Customer of any Candidates or the engagement
of any Candidate by the Customer.
9. In the event of the Customer introducing
any Candidate, introduced to the Customer by the Company,
to another person, department, firm or corporation, resulting
in an engagement by that person, department, firm or corporation,
the Customer shall pay the Company a referral fee in accordance
with Condition 5, unless the engagement occurs more than one
year after the Candidate's referral by the Company to the
Customer.
10. In the event of any Candidate terminating and/or the
Customer terminating the engagement within the two months
of the date upon which such applicant commenced work for the
Customer and provided:-
(i) that the Customer notifies the Company in writing of
the termination of engagement within seven days thereof and
(ii) that the Customer or any subsidiary or associated company
of the Customer shall not engage the Candidate within three
months from the date of termination of the engagement
then the Customer shall receive a 50% refund of the referral
fee payable under Condition 5 hereof.
11. Failure to comply with Condition 6 (unless otherwise
agreed in writing) will result in the Customer forfeiting
the scale of Rebate under Condition 10.
12. The Company is committed to equal opportunities and is
happy to advise the Customer with regard to good practice
in this respect. Candidates will also be informed of their
rights. Violation of equal opportunity rights will be notified
to the relevant authorities.
13. The Customer shall also respect the confidentiality of
the candidates. This includes but is not limited to approaching
current employers without express permission from the candidates.
14. All contractual relationships between the Customer and
the Company shall be personal to the Customer and shall be
governed by UK law, and the UK Courts shall have jurisdiction
in relation thereto.
